今天拿回上星期考的Midterm考卷, big surprise!
竟然有17 out of 20...聽說average是11分...

雖然Midterm考的還不錯
但每個星期的HW對我來說就像是nightmare...
b/c lack of foundamental construction knowledge.... TT____TT
So need to spend a lot of time reading related topics
But I am glad that actually I did learn something! ^^

再上三堂課,turn in final project and take Final.
Construction Project Scheduling and Control class 就結束了...
Finally....ha

美國第四大住宅建商Pulte Homes公司同意以13億美元的換股交易，收購排名第三的Centex公司，成為全美以營收計最大的房屋建築公司，也為兩家公司在惡劣的房市中尋求生機。Centex股價8日盤初大漲28%至9.75美元，但Pulte跌3.6%至10.38美元。

Pulte表示，將以該公司0.975股換Centex一股，相當於把Centex價值估為每股10.5美元，兩家公司表示此價格較Centex的20日平均股價溢價32.6%，也較7日收盤價高出38%。

這筆交易由雙方董事會同意，合併後Pulte持股68%，並承擔Centex 18億美元的債務。Pulte表示此交易每年可為公司節省3.5億美元的成本，並預期在年底前可以贖回逾10億美元的到期債務。合併後公司市值將達41億美元，並擴展到全美59個市場，使Pulte得以進入新屋銷售強勁的市場，例如德州及南北卡羅來納州。

Pulte執行長杜格斯（Richard Dugas）表示，2月房屋銷售意外反彈也許是房市回穩的跡象，他說：「我們對前景審慎樂觀，兩家公司合併代表我們能更快轉虧為盈。」

Gimme Credit研究公司分析師布萊恩說：「這是好消息，因為市面上不只有太多房子，建商也太多了。現在是現金為王，這筆交易給他們34億美元的現金，是該產業最多的，他們不需要銀行了。」

杜格斯在合併後將擔任公司的董事長及執行長，而Centex執行長執行長艾勒（Timothy Eller）將擔任副董事長及顧問兩年。

艾勒表示，他在兩個月前與杜格斯洽談合併案，因為這是「創造股東價值的最佳方式」。兩家公司期望合併能使他們安然度過自大蕭條以來歷時最久的衰退。
